Retainer terms
Monthly retainer terms
The terms that apply to the Essentials, Growth and Partner monthly retainers.
Last updated: 21 October 2026
1. Agreement
These terms apply when you ("the client") subscribe to a monthly retainer with Altiora Business Management ("Altiora", "we"). By ticking the agreement box and subscribing you accept these terms. Any written engagement letter we issue for your retainer forms part of this agreement and takes precedence where the two differ.
2. Packages and scope
- Essentials (R2,999 a month): one 90-minute strategy and accountability session a month, a monthly review of key numbers and priorities, a quarterly 90-day priorities plan, email support (reply within 2 business days) and access to relevant Altiora Library templates.
- Growth (R6,999 a month): two sessions a month (strategy and implementation), monthly management-information review with a KPI dashboard, a rolling 13-week cash flow review, one systems project a quarter, a quarterly team coaching session, priority email and WhatsApp support (1 business day), an annual funding-readiness check and a quarterly business review.
- Partner (R14,999 a month): weekly or fortnightly sessions up to an agreed number of hours a month, hands-on implementation support, monthly leadership meeting facilitation, CRM and systems oversight, funding-readiness preparation support, an annual strategy day, on-site visits in Durban, and same-business-day priority support. CRM implementation is quoted separately as a once-off set-up fee, and on-site visits outside Durban are billed separately, with travel and related costs agreed in advance.
The exact deliverables are confirmed in writing during onboarding.
3. Out-of-scope work
Work outside your package (for example once-off projects, additional sessions, on-site visits outside Durban, or third-party costs such as software licences) is quoted separately and only starts once you approve the quote in writing.
Travel. On-site visits outside Durban are billed separately. Travel, accommodation and related costs (including flights and vehicle costs) are agreed with you in advance and invoiced with supporting documents.
4. Unused time
Sessions and hours are allocated per calendar month. Unused sessions or hours may be carried over to the following month only (a one-month rollover), after which they lapse. Unused time is not refundable. Sessions cancelled by the client with less than 24 hours' notice count as used.
5. Fees and billing
Fees are in South African Rand and are billed monthly in advance via PayFast (card or debit) on your subscription date each month, starting on the day you subscribe. You authorise PayFast to collect the monthly fee until the retainer is cancelled. Altiora is not registered for VAT, so no VAT is added to the fee.
6. Price changes
We may change retainer fees on at least 30 days' written notice. A change will not take effect during your minimum term. If you do not accept the new fee, you may cancel before it takes effect without penalty.
7. Late or failed payment
If a monthly payment fails, we will let you know. If it is still unpaid 7 days after the due date, we may suspend services until the account is settled. A suspension does not extend or pause the minimum term.
8. Minimum term and cancellation
Each retainer has a minimum term of 3 months from the subscription date. After the minimum term the retainer continues month to month, and either party may cancel on 30 days' written notice (email to hello@altiorawealth.co.za is sufficient). Fees remain payable for the notice period, and we will cancel the PayFast subscription so no further debits run after it ends.
If you cancel during the minimum term (other than in the cooling-off period below), fees for the remainder of the minimum term remain payable, subject to section 14 of the CPA where it applies. We may end the retainer on 30 days' notice, or immediately if you materially breach these terms.
9. Cooling-off period
Under section 44 of ECTA you may cancel within 5 business days after subscribing without reason or penalty. If no services have been rendered, we will refund the first month in full; if some services have been rendered, we will refund the first month pro rata, less the value of services already delivered. Refunds are paid within 30 days, as ECTA requires.
10. Client responsibilities
- Provide accurate, complete and timely information, documents and access.
- Attend scheduled sessions or give at least 24 hours' notice to reschedule.
- Make your own business decisions and implement agreed actions; you remain responsible for running your business.
- Keep login details for any systems or portals secure.
11. Confidentiality
Each party will keep the other's confidential information confidential and use it only for the retainer, during and after the engagement, except where disclosure is required by law or agreed in writing. Templates, methods and materials we bring remain our intellectual property; you receive a licence to use them in your own business.
12. No guarantee of outcomes
We provide business consulting, coaching and guidance and will perform our services with reasonable care and skill. Results depend on many factors outside our control, so we do not guarantee any particular outcome, including revenue, profit, growth or funding.
13. Funding disclaimer
Altiora is not a lender, credit provider or authorised financial services provider (FSP), and does not provide credit, insurance, investments or regulated financial, legal or tax advice. Where we help you prepare for funding, all funding decisions and approvals rest solely with the relevant funders. Where you need regulated advice, we will recommend an appropriately qualified professional.
14. Limitation of liability
To the extent permitted by law, Altiora is not liable for indirect or consequential loss, loss of profit or loss of opportunity, and our total liability arising from a retainer is limited to the fees you paid in the 3 months before the claim arose. Nothing in these terms limits liability for gross negligence or wilful misconduct, or any right under the CPA that cannot be excluded.
15. Personal information (POPIA)
We process your personal information and that of your business in line with the Protection of Personal Information Act 4 of 2013 and our Privacy Notice. Each party will comply with POPIA for any personal information it receives from the other.
16. Governing law
These terms are governed by the laws of the Republic of South Africa, and the South African courts have jurisdiction. Before going to court, both parties will try in good faith to resolve any dispute through discussion. Changes to these terms are published on this page with at least 30 days' notice to active clients.
This page is a summary of our standard terms and does not limit any right you have under the Consumer Protection Act 68 of 2008 or the Electronic Communications and Transactions Act 25 of 2002.
